Terms of service


1. Acceptance of Terms and Conditions. Pace, the Suburban Bus Division of the Northern Illinois Transit Authority (“Pace”), operates the Pace ADA paratransit ticket online store (“Online Store”). By using the Online Store, you certify that: (a) you are at least 18 years of age and able to enter into a legally binding agreement; (b) you have read, understand, and accept these terms of service (“Terms”); and (c) all the information you submit through the Online Store, including your Online Store account, is current, accurate, complete.

2. Tickets. The only items for sale and purchase on the Online Store are books of 10 Pace ADA paratransit tickets (“Tickets”). Pace may change the appearance/description of, limit the quantities of, and/or discontinue the Tickets at any time without prior notice.

By purchasing Tickets on the Online Store, you agree that your use of the Tickets is subject to terms and conditions, rules, regulations, policies, and procedures adopted by Pace, including those specified on the Tickets. Pace may revise the terms and conditions, rules, regulations, policies, and/or procedures governing use of the Tickets at any time without notice.

3. Prices. Pace may change the price of the Tickets at any time without prior notice; provided, however, you will be charged the price specified on the Online Store at the time you place your order. Unless otherwise expressly specified on the Online Store, the price of the Tickets does not include any applicable taxes or shipping and handling charges. Pace does not offer any discounts on or promotions for the Tickets.

4. Payment, Orders, and Refunds. The only acceptable payment methods on the Online Store are Discover, MasterCard, and Visa credit and debit cards. When you place an order for Tickets on the Online Store, you are certifying that: (a) the Tickets are for your personal use and not for commercial resale or export; (b) you are authorized to use the Discover, MasterCard, or Visa credit or debit card used to place your order; and (c) you authorize the total amount of your order (including any applicable taxes and shipping and handling fees) to be charged to that card. Prior to Pace’s confirmation that your card issuer authorized your payment, Pace will accommodate requests to cancel your order, refund your purchase, or change the quantity of the Tickets purchased. Pace will not accommodate any such requests once that confirmation occurs, nor will Pace provide a refund for used or unused Tickets. Pace may refuse any order placed on the Online Store.

5. Shipping and Delivery. Pace will ship your purchased Tickets via U.S. first-class mail, postage prepaid, to the shipping address specified in your order. Pace is not liable for failures or delays in shipping or delivery or for lost, stolen, destroyed, or misplaced Tickets. Once Pace deposits your purchased Tickets in the U.S mail, title to and risk of loss of the Tickets passes to you.

6. Intellectual Property. The Online Store, including all trademarks, brands, text, displays, images, and graphics and the design, selection, and arrangement thereof, are protected by patent, copyright, and/or other intellectual property laws.

The Terms permit you to use the Online Store for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any of the material on the Online Store without Pace’s prior written consent. Except as specified in the Terms, nothing in the Terms grants or will be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Pace, Shopify, or any third party. Unauthorized use of the Online Store may be a violation of intellectual property laws. All rights not expressly granted in the Terms are reserved by Pace.

The Pace name, the Pace logo, and other Pace intellectual property on the Online Store are the intellectual property of Pace. You must not use or authorize the use of Pace intellectual property and/or any likeness thereof for any purpose without obtaining the prior written approval of Pace’s executive director. All other non-Pace names, logos, and intellectual property on the Online Store, if any, are the intellectual property of their respective owners.

7. Optional Tools. Pace may provide you with access to optional third-party tools (“Tools”), which Pace does not monitor and over which Pace has no control or input. That access is provided “as is” and “as available” without any warranties, representations, or conditions of any kind and without any endorsement. Pace will have no liability whatsoever arising from or relating to your use of the Tools. Your use of the Tools is entirely at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which the Tools are provided by the relevant third-party provider(s). Pace may also, in the future, offer new features through the Online Store (including the release of new tools and resources). Those new features will be subject to the Terms.

8. Relationship with Shopify. The Online Store is hosted by Shopify, which enables Pace to provide the Online Store and you to purchase the Tickets directly from Pace. Shopify is not responsible for any aspect of your purchase of the Tickets on the Online Store. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchase of the Tickets on the Online Store.

9. Privacy Policy. Your submission of personally identifiable information through the Online Store is subject to the Pace Privacy Policy posted on the Online Store and may be subject to Shopify’s privacy policies located at https://www.shopify.com/legal/privacy/consumers and https://www.shopify.com/legal/privacy.

10. Errors, Inaccuracies, and Omissions. Pace will not be liable to you for any errors, omissions, or inaccuracies in the information on the Online Store and may change, correct, or update that information and/or cancel orders at any time without prior notice.

11. Prohibited Uses. In addition to other prohibitions specified in the Terms, you are prohibited from using or soliciting others to use the Online Store and/or its contents: (a) for any purpose that is unlawful, harmful, obscene, immoral, or not otherwise authorized by the Terms; (b) to violate any international, federal, state, or local laws, statutes, ordinances, rules, or regulations; (c) to infringe upon or violate Pace’s intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or reuse any material that does not comply with the Terms; (g) to transmit or procure the transmission of any advertising or promotional material, including any junk mail, chain letter, spam, or any other similar solicitation; (h) to impersonate or attempt to impersonate any other person or entity; (i) to upload or transmit viruses or any other type of malicious code that will or may be used in any way to affect the functionality or operation of the Online Store and/or its contents; (j) to collect or track the information of others; (k) for spamming, phishing, pharming, pretexting, and/or automated data collecting (including using any robot, spider, crawler, scraper, site search/retrieval application, or other automated device, process, or means to access, retrieve, index, or data mine any portion of the Online Store and/or its contents); (l) to interfere with, bypass, or circumvent the security or authorization features or other measures that Pace employs to restrict access to the Online Store and/or its contents; and (m) to engage in, attempt to engage in, or facilitate any other conduct that may restrict or inhibit the use or enjoyment of the Online Store or may harm Pace, Shopify, or users of the Online Store or expose them to liability.

12. Disclaimer and Limitation of Liability. THE ONLINE STORE AND THE TICKETS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND PACE DISCLAIMS ALL WARRANTIES, BOTH EXPRESS AND IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. PACE DOES NOT WARRANT THAT THE USE OF THE ONLINE STORE WILL BE UNINTERRUPTED OR FREE OF ERROR OR OTHER DEFECT, INCLUDING VIRUSES. PACE DOES NOT WARRANT AND MAKES NO REPRESENTATION AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE ONLINE STORE OR ANY INFORMATION OR MATERIALS FOUND THEREON. IN NO EVENT WILL PACE BE LIABLE TO YOU FOR DAMAGES OF ANY KIND WHATSOEVER, ARISING OUT OF INFORMATION ON THE ONLINE STORE, YOUR USE OF THE ONLINE STORE OR THE TICKETS, OR ANY OTHER CLAIM RELATED TO YOUR USE OF THE ONLINE STORE OR THE TICKETS, TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Entire Agreement. The Terms and all policies, operating rules, and other terms and conditions posted by Pace on the Online Store, if any, constitute the entire agreement (“Agreement”) between Pace and you, governs your use of the Online Store, and supersedes any prior written or oral understandings, agreements, or representations between Pace and you that may have related in any way to the subject matter of the Agreement, and no other written or oral warranties, inducements, considerations, promises, representations, or interpretations, which are not expressly addressed in the Agreement, will be implied or impressed upon the Agreement.

14. Indemnification. You agree to indemnify, defend, and hold harmless Pace and its officers, directors, employees, agents, and attorneys (collectively, “Indemnitees”) from and against all liability, injuries, losses, damages, claims, suits, payments, settlements, judgments, demands, costs, and expenses, including reasonable attorneys’ fees, asserted by a third party against one or more Indemnitees arising out of your: (a) breach of the Agreement, including any documents incorporated by reference; (b) your violation of any international, federal, state, or local laws, statutes, ordinances, rules, or regulations or the rights of a third party; and/or (c) your use of the Online Store.

To the extent to which you are required to provide indemnification to any Indemnitee, you shall appear and defend all suits brought upon any claim under this paragraph 14, shall pay all costs and expenses related to that claim, and shall have the right to select defense counsel for the defense of any such claim or suit; provided, however, each tendering party may, at its option and expense, participate in the defense of any suit, without relieving you of your obligations under this paragraph 14. You also agree that you will not to settle any claim, demand, or suit covered by this paragraph 14 without the express written consent of Pace and that you will cooperate with and assist Pace and any claims service agencies, investigators, and attorneys employed by or on behalf of Pace in the administration, investigation, and defense of any and all claims asserted against Pace and/or you arising out of the Online Store.

15. Termination. Pace may terminate the Agreement and your use of the Online Store at any time without prior notice. You may terminate the Agreement and your use of the Online Store at any time by providing Pace with written notice that you no longer wish to use the Online Store. In the event of termination by you or Pace, you will remain liable for all amounts in connection with your use of the Online Store due up to and including the date of termination.

16. Headings. The headings in the Terms are for reference and convenience only and will not affect the meaning or interpretation of the Agreement.

17. Waiver. Failure of a Pace to exercise any right or pursue any remedy under the Agreement will not constitute a waiver of that right or remedy.

18. Survival. Any provision of the Agreement that imposes an obligation after termination or expiration of the Agreement will be deemed to survive termination or expiration of the Agreement.

19. Severability. If any provision of the Agreement or amendment thereto is held invalid or unenforceable by an Illinois court of competent jurisdiction, that provision will be deemed severed therefrom, and the remaining provisions will remain in full force and effect.

20. Assignment. Pace may assign, delegate, or otherwise transfer all or part of Pace’s rights and/or obligations under the Agreement without your consent or notice to you. You may not assign, delegate, or otherwise transfer all or part of your rights and/or obligations under the Agreement without the prior written consent of Pace.

21. Changes to Agreement. Pace may revise the Agreement at any time without prior notice and will post those revisions on the Online Store upon their effective date. It is your responsibility to check the Online Store for revisions to the Agreement. Your continued use of the Online Store after the effective date of those revisions constitutes your acceptance of them. If you do not agree to those revisions, you must cease using the Online Store.

22. Binding Effect. The Agreement will be binding on Pace and you; Pace’s directors, officers, employees, agents, representatives, successors, and assigns; and your heirs, representatives, executors, and administrators.

23. Notice. Any notice under the Agreement must be in writing and must be given in the following manner:

  1. By personal delivery (deemed effective as of the date and time of delivery);
  2. By commercial overnight delivery (deemed effective as of the next business day following deposit of the notice with a commercial overnight delivery company); or
  3. By certified or registered mail, return receipt requested, with proper postage prepaid (deemed effective on the third business day following deposit of the notice in the U.S. mail).

Business days are defined as Monday through Friday, excluding federal holidays. Business hours are defined as 8:00 a.m. to 5:00 p.m. Central Time on business days. The notice must be addressed as follows or to such other address as either party may specify in writing:

24. Governing Law, Jurisdiction, and Venue. The Agreement and your use of the Online Store will be governed by and construed in accordance with the laws of the State of Illinois without regard to principles of conflicts of law. You agree to submit to the exclusive jurisdiction and venue of the Circuit Court of Cook County, Illinois, Third Municipal District, in Rolling Meadows, Illinois for any dispute arising out of or related to the Agreement or your use of the Online Store.

25. Account Security. You are solely responsible for maintaining the security of your Online Store account credentials and activity.

26. Revision History. The Terms are in effect beginning October 1, 2026.
